Terms & Conditions

Effective Date: 5 January 2026

These Terms and Conditions govern all sales made under the London Persian Rug Company brand (“LPRC”), which is operated by either Heritage Trading DMCC or Rug Distribution Limited, depending on the nature of the transaction.

By placing an order, requesting a quotation, or purchasing goods from LPRC, you agree to be bound by these Terms.

“Customer” means any individual or entity purchasing Goods under the London Persian Rug Company brand.

Brand & Ownership Notice
The London Persian Rug Company (“LPRC”) is a trading name and brand used by Heritage Trading DMCC and Rug Distribution Limited, depending on the nature of the transaction.

Ownership of the LPRC brand and associated intellectual property rests with Heritage Trading DMCC. The identity of the contracting seller for each transaction is determined in accordance with Section 1 of these Terms.

Scenario 1 – UK Stock Sales

Where a rug is physically located in the United Kingdom at the time of sale:

  • The seller and contracting party is Rug Distribution Limited (UK)
  • UK VAT applies where required by law.

Scenario 2 – Overseas & Bespoke Sales

Where a rug is manufactured, sourced, or supplied overseas and shipped internationally:

  • The seller and contracting party is Heritage Trading DMCC (Dubai, UAE).
  • Where applicable, third-party logistics providers or coordinators may be engaged to facilitate international shipment.
  • Goods supplied under this scenario may be shipped directly from overseas to the Customer. The purchase price payable to Heritage Trading DMCC may include amounts attributable to international freight, insurance, customs clearance, handling, coordination, and administrative costs. Such amounts form part of the overall supply of the Goods and are payable to Heritage Trading DMCC as seller of record.

The applicable scenario will be confirmed at the quotation or order confirmation stage. Once confirmed, the scenario cannot be changed or reclassified.

No separate service contract is formed with London Persian Rug Company in respect of overseas shipment, logistics, or handling under Scenario 2.

2. Nature of Goods

All rugs sold by LPRC are:

  • Handmade, one of a kind, natural-fibre, antique, vintage, or artisan-produced items
  • Subject to inherent variations in colour, size, weave, pile, texture, and finish

Photographs, videos, and showroom displays are illustrative only. Lighting, staging, and environmental factors may affect appearance. Such variations do not constitute defects.

3. Orders & Contract Formation

A binding contract is formed only when the applicable seller of record issues a written order confirmation or invoice.

No verbal statement, showroom discussion, or marketing material constitutes acceptance of an order.

4. Pricing & Payment

Prices are quoted in advance and confirmed at the time of order.

Payment must be made in full prior to dispatch or release of goods unless otherwise agreed in writing.

Where applicable, payments may be collected by an authorised agent on behalf of the applicable seller of record.

5. VAT, Taxes & Duties

Scenario 1

UK VAT is charged at the prevailing statutory rate and remitted by Rug Distribution Limited.

Scenario 2

No UK VAT is charged. The customer is responsible for:

  • Import VAT
  • Customs duties
  • Clearance fees
  • Any overseas taxes or charges

Such governmental or third-party charges are not included in the purchase price unless expressly stated. Amounts charged by the seller in respect of logistics, handling, coordination, or administration form part of the overall purchase price, whether itemised separately or not.

6. Delivery & Risk

Delivery dates are estimates only.

Scenario 1

Risk passes to the customer upon delivery at the UK delivery address.

Scenario 2

Risk passes upon shipment from the overseas point of origin, in accordance with the shipping terms stated on the invoice.

LPRC is not responsible for delays caused by third-party carriers, customs authorities, or events beyond reasonable control.

7. Consumer Cancellation & Returns

Scenario 1 – UK Stock (Consumer Purchases)

Where the customer is a consumer, statutory rights under the Consumer Contracts Regulations apply.

You may cancel within 14 days of delivery, provided the rug is:

  • Unused
  • Uninstalled
  • In substantially the same condition as supplied

Return delivery costs are the customer’s responsibility unless the rug is faulty.

Scenario 2 – Overseas & Bespoke Rugs

Rugs supplied under Scenario 2 are custom-made or bespoke.

Under Regulation 28 of the Consumer Contracts Regulations, no right to cancel for change of mind applies once production has commenced.

By approving a quotation or placing an order, the customer expressly authorises production to begin immediately.

Scenario 2 orders are final and non-refundable once production has commenced.

8. Defects & Remedies

Nothing in these Terms limits statutory rights under the Consumer Rights Act 2015.

If goods are defective:

  • Issues must be reported within 7 days of delivery
  • Photographic evidence may be requested
  • Goods may need to be returned for inspection

The remedy will be, at the seller’s discretion:

  • Repair
  • Like-for-like replacement

Natural characteristics, age-related wear, patina, asymmetry, or artistic irregularities are not defects.

9. Defects, Statutory Rights & No Additional Warranty

Scenario 1 goods are warranted by Rug Distribution Limited.
Scenario 2 goods are warranted by Heritage Trading DMCC.

The warranty period is 12 months from delivery, excluding:

  • Wear and tear
  • Moth damage
  • Water damage
  • Improper cleaning
  • Accidental or pet damage
  • Alterations by third parties

No cash compensation is payable in lieu of repair or replacement.

10. Limitation of Liability

Nothing excludes liability for death, personal injury, fraud, or other non-excludable statutory rights.

Subject to this, total liability is limited to the purchase price paid.

We are not liable for:

  • Market value changes
  • Appreciation or investment value
  • Indirect or consequential loss
  • Emotional or sentimental value

11. Insurance

Customers are strongly advised to insure rugs for:

  • Full replacement value
  • Transit risk
  • Installation risk

Neither Rug Distribution Limited nor Heritage Trading DMCC insures rugs beyond their own commercial liability cover.

12. B2B Transactions

Where the customer is acting wholly or mainly in the course of business:

  • Consumer protections do not apply
  • These Terms apply in full
  • Liability is limited as set out above

13. Intellectual Property

All intellectual property in designs, images, text, and content remains the property of the applicable seller or its licensors.

14. Data Protection

Personal data is processed in accordance with UK GDPR and our Privacy Policy.

15. Force Majeure

We are not liable for failure or delay caused by events beyond reasonable control.

16. Governing Law & Jurisdiction

These Terms and any contract are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction.

Disclaimer

The Rug Group Ltd (including its brands 'London Persian Rug Company' and  'Oriental Rug Repair Company') operates as an appointed logistics and facilitation agent for Clark & Gill, a specialist rug restoration provider based in Pakistan. All major rug repair services (including but not limited to structural repairs, reweaving, and dye work) are performed by Clark & Gill at their overseas facility. The Rug Group Ltd is not the provider of these services and acts solely as a coordinating agent for transport, client liaison, and return delivery. Responsibility for the execution and quality of repair services rests with Clark & Gill, the principal.
